Welcome to Metadologie. These Terms & Conditions govern your access to and use of our website and our services, including MetaShip, M-Pay, M-Quote, DocsBag, MetaTax, and Meta Platform Plugin.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please discontinue the use of our services.

1. Acceptance of Terms

By accessing or using our services, you confirm that you have read, understood, and agreed to these Terms & Conditions. Continued use constitutes acceptance of any updates.

2. Use of Services

You agree to use our services only for lawful purposes and in compliance with applicable international laws and regulations. You must not:

  • Violate any applicable laws or regulations
  • Interfere with system security or operations
  • Attempt unauthorized access to systems or data
  • Use the platform for fraudulent, harmful, or abusive activities

3. User Accounts & Security

You may be required to create an account to access certain services. You are responsible for:

  • Maintaining accurate account information
  • Safeguarding login credentials
  • All activities conducted under your account

We reserve the right to suspend accounts that violate these Terms.

4. Product-Specific Terms

MetaShip (Logistics & Shipping)

  • Users must provide accurate shipment and delivery information
  • Delivery timelines depend on third-party carriers
  • We are not liable for carrier-related delays or disruptions

M-Pay (Payments)

  • Payments are processed via authorized third-party providers
  • Sensitive financial data is handled by payment processors
  • Payment disputes may be subject to third-party terms

M-Quote (Quoting)

  • Quotes are indicative and subject to confirmation
  • Pricing may vary based on final agreements

DocsBag (Document Management)

  • Documents are managed via third-party cloud providers
  • We are not responsible for third-party storage failures

MetaTax (Tax & Compliance)

  • Users are responsible for accuracy of tax-related data
  • We facilitate compliance but do not provide legal/tax advisory services

Social Media Platform Plugin (Facebook & Instagram)

  • Access to Meta data is based on user authorization
  • Usage must comply with Meta Platform Terms and Developer Policies
  • We are not responsible for changes made by Meta platforms

5. Payments & Billing

Users agree to pay all applicable fees associated with the services. Fees, billing cycles, and payment terms may vary depending on the product or agreement.

6. User Responsibilities

You agree to:

  • Provide accurate and complete information
  • Use services in compliance with laws
  • Avoid misuse, abuse, or unauthorized access

7. Third-Party Services

Our platform integrates with third-party providers such as payment gateways, logistics carriers, cloud storage services, and Meta platforms. We are not responsible for the performance, policies, or practices of these third parties.

8. Intellectual Property Rights

All intellectual property, including software, content, branding, and design, is owned by Metadologie or its licensors. Unauthorized use is strictly prohibited.

9. Service Availability

We aim to provide reliable services but do not guarantee uninterrupted or error-free operation. Temporary downtime may occur due to maintenance or external dependencies.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Metadologie shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of data, revenue, or business opportunities
  • Issues arising from third-party services

11. Indemnification

You agree to indemnify and hold harmless Metadologie from any claims, damages, or liabilities resulting from:

  • Your use of the services
  • Violation of these Terms
  • Violation of applicable laws or third-party rights

12. Suspension & Termination

We may suspend or terminate your access if you:

  • Violate these Terms
  • Engage in unlawful or harmful activities
  • Compromise system security or integrity

13. International Use

Our services are accessible globally. Users are responsible for compliance with local laws and regulations applicable in their jurisdiction.

14. Social Media Platform Plugin (Facebook & Instagram Integration)

  • User Authorization:Access to Meta data is strictly based on explicit user authorization via the Meta OAuth "handshake." We do not access account data without your direct permission.
  • Compliance with Meta Policies:By using our Social Media Plugins, you agree to comply with the Meta Platform Terms, Developer Policies, and Commercial Terms. Any use of our plugin that violates Meta’s policies, including the Meta Community Standards, may result in immediate termination of service.
  • Prohibited Conduct:Users are strictly prohibited from using this integration to send unsolicited bulk messages (Spam), engage in harassment, or use automated scripts to harvest user data in violation of platform rules.
  • Human-to-Human Communication:This plugin is designed to facilitate professional communication between support agents and customers within a CRM environment. Users are solely responsible for the accuracy and legality of the content of all messages sent through integration.
  • Limitations & Service Changes:Metadologie is not responsible for any service interruptions, data loss, or functional changes caused by updates to Meta’s API, platform deprecations, or account-level restrictions imposed by Meta.
  • Data Revocation:Users may revoke our plugin’s access to their Meta data at any time through their Meta Business Suite Settings or by contacting our support team at support@metadologie.com. Upon revocation, we will cease to process new data from your Meta accounts as per our Privacy Policy.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and interpreted in accordance with international commercial laws and principles, without regard to conflict-of-law provisions.

Any disputes arising out of or relating to these Terms shall be resolved through:

  • Good faith negotiations, followed by
  • Binding arbitration under internationally recognized arbitration rules (e.g., UNCITRAL or ICC).

The place of arbitration and governing procedural rules may be mutually agreed upon or determined based on applicable international standards.

16. Changes to Terms

We may update these Terms periodically. Continued use of the services after updates constitutes acceptance of the revised Terms.
